what is bad about it? or maybe easier question is... what's still good on it?

synchros will probably need changing, as well as the mainshaft or secondary shaft bearings. Other than that I don't THINK there are any problems with it. If you are good mechanically, you can fix it. I just don't want to deal with it, and don't want it in my garage.

hmmm, i'm trying ta think of how much the new parts will cost me, and the time i'll have ta put into it... i was thinkin bout beefin it up and whatnot, and trying my work on a friends D17 and seeing if it'll withstand some serious power

I was going to tear it down and see if the differential is the same as the D16 trannys - and see about installing an LSD, but its too much of an investment for me - and the car is now stock.
