Engine ticks in D but not N under load. Valve adjustment?

Hi guys, got an '01 D17 engine with 330km/205k miles on the odo, automatic.

On cold days especially, but seems to also be all the time now in warmer weather, the engine seems to tick on load, particularly in 1st/2nd gears (automatic.)

I also put the car in neutral while going 30-40km/h, and revved it up to ~3000rpm, but I don't hear any ticking...

I would assume that if this was a bent valve or something else, that it would tick regardless if it's in D or N?

Would a valve adjustment help with this?

I'm due for my (second) timing belt/water pump change ... so if there's any simple maint the mechanic can do, that'd be great... (Don't think the mechanic is inclined enough nor is it worth it to just let them 'figure it out')...

Thoughts?

sometimes what you are describing can be caused by an exhaust leak close to the engine, i would inspect your manifold for cracks, could also be a leaking manifold gasket, or leaking connection from the cat converter to exhaust

The heat shield for the headers shows a crack, that I know.

My cat had 3 holes welded up just a few weeks ago, as I had a pretty bad exhaust leak...

So... should I go ahead with a valve adjustment, or would that be a waste? Again, while I trust my mechanic, I don't think they're awesome enough to diagnose it ... :|
